Thank you for your interest in Sanborn Law PLC, the law practice of Jeffrey A. Sanborn, Esq., J.D., M.B.A., Attorney at Law. I am a corporate, securities, and litigation attorney who has helped my clients achieve great success and meet their goals since 1996. I am licensed to practice law in the Commonwealth of Virginia. I work with companies, non-profit organizations, bankruptcy trustees, other attorneys, and individuals. I am now well into my third decade of providing top tier legal services in what lawyers like to call a “sophisticated” legal practice.
My business clients have included large, publicly traded corporations, privately held businesses, and entrepreneurs. I have been privileged to have worked at two of Virginia’s largest law firms, at Virginia’s oldest continuously operating law firm, and at the law firm of one of Virginia’s best plaintiff-side litigators. I have held in-house legal positions ranging from Chief Corporate Counsel of a publicly traded company with international operations to General Counsel of a small, privately held company. Because I hold both a law degree and an M.B.A., which I have drawn on extensively in my legal practice through the years, I speak the same language as the business executives and business owners I serve. I have worked with business executives of all levels throughout Virginia and throughout the world. In 2017, I brought all of this experience with me to form my own law practice in beautiful Crozet, Virginia, in the foothills of the Blue Ridge Mountains, serving clients throughout Virginia.
Here are some highlights of my past and present legal work:
Mergers & Acquisitions: I have worked on dozens of domestic and international buy-side and sell-side M&A transactions of up to $1.3 billion in acquisition target enterprise value.
Capital Raises (Private): I have done the corporate and securities legal work for at least 50 private placements and venture capital transactions representing the issuer, with investments of up to $60 million.
Commercial Contracts: I have drafted and negotiated countless commercial contracts for the provision of goods and services of all types in a host of different industries, both domestically and internationally. I firmly believe that almost any problem can be solved with a well thought out contract.
Nonprofit Organizations: I work with nonprofit organizations, including educational foundations, on contract-related legal work, corporate governance matters, policy implementation, and other goals.
Corporate Reorganizations: In addition to assisting with the formation and organization of new for profit and nonprofit corporate entities of all types, I also assist with reorganizations of such corporate entities.
Civil Litigation and Arbitration: Based on my transactional legal experience and business background, I bring unique skills and perspective to civil litigation. I enjoy working with highly accomplished teams of experienced plaintiff-side contingency-fee litigators on complex civil litigation and arbitration matters. My background is particularly beneficial in litigation involving corporate, securities, fiduciary, business, and financial issues. While I am comfortable making oral arguments at hearings, I pride myself in doing the behind-the-scenes work necessary to unravel complex factual records and overcome legal hurdles so as to position the litigation team for success. One of my strengths is my thoroughness. I uncover paths to successful litigation outcomes that others may miss. I never give up. I have played a major role in successfully concluding two high six-figure litigation settlements, and numerous six-figure securities arbitration settlements and awards. I purposefully limit the number of cases I work on so as to be able to take a very deep dive into the facts and law of each case, becoming absolutely fluent in both. This has translated into excellent outcomes for clients.

For the benefit of my clients, I charge a lower and more reasonable hourly rate than attorneys with comparable experience.
